DESCRIPTION OF SERVICES

DemandBridge provides enterprise software solutions for distributors and suppliers in the print and promotional products industry. Our services include:

  • DB Distributor (ERP) – enterprise resource planning for print and promo distributors
  • DB Commerce (eCommerce) – branded eCommerce storefronts
  • DB Sourcing – sourcing and procurement platform
  • ValPay – integrated invoicing and payments

All products are delivered as cloud-based software-as-a-service (SaaS).

PAYMENTS AND SUBSCRIPTIONS

  • Customers purchase services on annual or multi-year contracts.
  • Payments are invoiced according to the contract terms (typically annually in advance).
  • All subscriptions automatically renew at the end of the term unless canceled in writing.
  • Customers must provide 60 days’ written notice prior to the contract expiration date if they wish to cancel.
  • Payment processing is handled by DemandBridge, LLC or its designated merchant processing partners.
  • Payment Security: DemandBridge and its payment providers maintain compliance with the Payment Card Industry Data Security Standard (PCI DSS) to ensure secure handling of cardholder data.

THIRD PARTIES

We may integrate or rely on third-party providers for:

  • Payment processing
  • Hosting and cloud infrastructure
  • Integrations with accounting, CRM, or eCommerce systems

Where applicable, these providers are bound by contractual obligations to protect customer data.

GOVERNING LAW

These Terms & Conditions are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

DELIVERY OF SERVICES

  • All DemandBridge services are delivered digitally.
  • Access is typically provisioned within 5–10 business days of contract execution and payment, unless otherwise agreed.
  • Services are available to customers in the United States and other supported regions subject to compliance and regulatory considerations.

REFUND AND CANCELLATION POLICY

  • Subscription fees are non-refundable once invoiced.
  • Cancellation may only occur at the contract renewal date with 60 days’ written notice.
  • No refunds are provided for partial terms, unused services, or early termination, unless explicitly stated in the contract.

PRIVACY POLICY

DATA WE COLLECT

We may collect the following information from customers and end-users:

  • Business and contact information: name, email, phone, company details
  • Account credentials for DemandBridge platforms
  • Usage data: log files, browser type, device identifiers, session data

We do not sell personal data. We may share data only with:

  • Service providers (e.g., payment processors, hosting providers, integration partners)
  • Legal authorities if required by law
  • Affiliated companies within our parent group (Valsoft Corporation) as needed for operations

  • Collect analytics to improve services

Users may disable cookies in their browser settings, but some features may not function properly.

DELIVERY OF SERVICES

  • All DemandBridge products are delivered digitally and are accessible via secure login.
  • There are no physical deliveries.

PAYMENT SECURITY

  • DemandBridge follows industry standards for data protection.
  • All payment card transactions are processed by PCI DSS-compliant providers.
  • DemandBridge itself maintains PCI DSS compliance, ensuring that cardholder data is transmitted and stored securely.

DATA RETENTION

We retain customer data only as long as necessary for providing services, fulfilling legal obligations, and resolving disputes.

REFUNDS AND CANCELLATIONS

As stated in our Terms & Conditions:

  • Services are on annual or multi-year contracts.
  • Refunds are not offered after invoicing.
  • Cancellation requires 60 days’ written notice before contract expiration.

YOUR RIGHTS

Customers may:

  • Request a copy of their stored data
  • Request corrections to inaccurate information
  • Request deletion of data (subject to contractual and legal requirements)
